Sako – Terms and Conditions

1. PREAMBLE

Sako (the “Application”) is a digital wallet built for African immigrants in Europe to manage all aspects of their finances from a single financial hub. These Terms and Conditions (the “Agreement”) form a legal contract between you (“User”) and SAUKI INC, a general entity incorporated in the State of Delaware, United States, with its headquarter located at 251 LITTLE FALLS DRIVE, WILMINGTON, New Castle, DE, 19808.

The Application and its associated Services are provided by SAUKI INC and its affiliated entities Sauki SAS (France) and Sauki SAS (Niger). By accessing or using the Application, you acknowledge that you have read, understood, and agreed to these Terms and Conditions as well as our Privacy Policy, which is incorporated herein by reference.


2. ACCESS TO THE APPLICATION

  • Availability: The Application is accessible 24 hours a day, seven days a week, except in cases of scheduled maintenance, unexpected technical issues, or legal obligations.
  • Right to Suspend or Terminate: We reserve the right to suspend or permanently terminate your access to the Application without prior notice for reasons including, but not limited to, maintenance, security updates, or regulatory requirements.

3. REGISTRATION AND USER ACCOUNT

  • Eligibility: To register, you must be at least 18 years old and a resident of the European Economic Area (EEA).
  • Onboarding Process: Registration requires you to provide personal details (such as name, date of birth, and contact information) and complete a Know Your Customer (KYC) process, which includes scanning an identity document.
  • User Responsibility: You agree to provide accurate information and promptly update any changes. You are responsible for maintaining the confidentiality of your account credentials and secret code.

4. PROTECTION OF PERSONAL DATA AND PRIVACY

  • Incorporation by Reference: Our Privacy Policy, last updated on March 26, 2025, is an integral part of this Agreement. By using the Application, you consent to the collection, use, storage, and disclosure of your personal data as described therein.
  • Data Handling: We collect various categories of data—including identity, contact, financial, technical, and usage data—and process it in compliance with applicable data protection laws such as the European General Data Protection Regulation (GDPR) and relevant U.S. data protection regulations.
  • Your Rights: As detailed in our Privacy Policy, you have rights regarding your personal data, including the right to access, correct, delete, or restrict its processing. To exercise these rights, please contact us at support@sauki.io.
  • Security Measures: We implement industry-standard technical and organizational measures (e.g., HTTPS/TLS encryption, secure servers, and regular security audits) to safeguard your data. However, absolute security cannot be guaranteed.

5. USE OF THE APPLICATION

  • Services Provided: Through the Application, you gain access to a range of financial services including peer-to-peer payments, debit card services, airtime payment, bill payment, SEPA transfers, Apple Pay integration, and account management. Some of these services are offered by third-party providers whose separate terms and conditions govern your relationship with them.
  • Third-Party Providers: You are advised to review the terms and conditions provided by any third-party service provider before using their services. Your use of these providers’ services is subject to their respective agreements.
  • Apple Pay Usage
    • Integration: The Application supports Apple Pay to facilitate secure and convenient payments using your linked payment methods (e.g., debit or credit cards) stored in Apple Wallet.
    • Authorization: By enabling Apple Pay, you authorize SAUKI INC to charge your chosen payment method for transactions initiated through the Application.
    • Data Processing: Information processed during Apple Pay transactions (such as transaction amount, date, and merchant) is handled in accordance with our Privacy Policy and is not stored on SAUKI INC servers beyond what is necessary to fulfill the transaction.

6. INTELLECTUAL PROPERTY

  • Ownership: All software, designs, trade names, trademarks, logos, and content provided through the Application are the exclusive property of SAUKI INC or its licensors.
  • License: You are granted a limited, non-transferable, and non-exclusive license to use the Application for your personal, non-commercial use, subject to your compliance with these Terms and Conditions.

7. LIMITATION OF LIABILITY

  • Effort Basis: While we strive to ensure that the Application is available and functions properly at all times, our obligations are on a “best efforts” basis. We do not guarantee uninterrupted or error-free service.
  • Exclusions: SAUKI INC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Application. This includes, without limitation, delays in processing transactions or data transmission failures.
  • Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, acts of government, or technical failures.

8. APPLICABLE LAW AND DISPUTE RESOLUTION

  • Governing Law: This Agreement is governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to its conflict of laws principles.
  • Jurisdiction: Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the federal or state courts located in New Castle County, Delaware.
  • Dispute Resolution: Before initiating legal action, you are encouraged to contact our Help Desk to seek an amicable resolution.

9. MODIFICATIONS TO THE AGREEMENT

  • Right to Amend: SAUKI INC reserves the right to modify or update these Terms and Conditions and the Privacy Policy at any time to reflect changes in our services, regulatory requirements, or other circumstances.
  • Notification: Significant changes will be communicated to users where applicable. Your continued use of the Application after any modifications constitutes your acceptance of the updated terms.

10. TERMINATION

  • User Termination: You may terminate your account at any time by filling out this form: https://form.sauki.io/ee9544d7-75fc-42e1-a3f7-ef8685630f8d or by contacting us at support@sauki.io. Once terminated, access to your account and the Application will be revoked.
  • Data Deletion: Upon termination, your personal data will be deleted in accordance with applicable legal requirements, except where retention is mandated by law.
